Be Relevant Terms and Conditions

Welcome to Be Relevant LLC ("Be Relevant," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our services, software, and website (collectively, the "Services"). By accessing or using the Services, or by clicking "accept" or "agree" when prompted, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Use of Services
1.1 Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By using the Services, you represent that you meet these requirements. By using Services that include SMS messaging, you confirm you have provided prior express written consent for such communications where required by law.
1.2 Prohibited Activities
You agree not to:
• Violate any laws or regulations.
• Impersonate others or misrepresent your affiliation with a person or entity.
• Use the Services to send unsolicited communications, spam, or junk mail.
• Interfere with or disrupt the Services or associated networks.
• Attempt to gain unauthorized access to the Services or related systems.
• Copy, monitor, or scrape content or data from the Services without authorization.
• Upload viruses, worms, or other harmful software.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Harvest or collect data from other users without consent.
• Exploit or harm minors in any way.
• Harass or interfere with others’ use of the Services.
• Use the Services to develop competing products or services.
2. Subscriptions and Payments
2.1 Billing
All subscriptions are billed monthly or annually, as per your selected plan. Usage-based charges (e.g., SMS, email campaigns, AI tools) will be billed in addition to subscription fees. Payments are processed via third-party providers. If a payment fails, we may suspend Services until payment is received, and you are responsible for any resulting fees.
2.2 Non-Refundable
All fees are non-refundable. No credits or prorations will be provided for unused time on subscriptions. Exceptions may be granted at Be Relevant’s sole discretion, with refunds issued to the original payment method.
2.3 Cancellation
Cancellation requests must be submitted at least seven (7) days before the next billing cycle. Failure to cancel on time may result in additional charges.
2.4 Reactivation Fee
Accounts terminated for non-payment will incur a $100 reactivation fee if reinstated.
2.5 Auto-Renewal
Subscriptions auto-renew unless canceled at least seven (7) days before the renewal date. You’ll receive a reminder prior to renewal.
3. Licensing and Intellectual Property
3.1 Ownership
All intellectual property rights, including backend systems, automations, and tools, remain geodesics the exclusive property of Be Relevant LLC.
3.2 License
You are granted a non-exclusive, non-transferable license to use Be Relevant’s systems and tools during your subscription. Upon termination, this license is revoked, and access to the Services ceases.
3.3 Data Export
Upon termination, you may export your contacts and data. Proprietary systems, automations, and tools are excluded from export.
3.4 User Content
Any content you upload remains yours, but you grant Be Relevant a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute it for providing and promoting the Services.
3.5 Feedback
Feedback you provide is non-confidential, and you grant Be Relevant all rights to use it without compensation.
4. Data Security and Retention
4.1 Privacy Policy
Use of the Services is governed by our Privacy Policy, which outlines how we collect, use, and protect your data. SMS opt-in data and consent records are maintained securely and used solely to deliver the SMS services you request, in compliance with applicable telecommunications laws.
4.2 Retention Period
Client data will be retained for 30 days post-termination. After this period, all data will be permanently deleted.
5. Service Availability and Support
5.1 Support
Support requests can be submitted through the platform. We strive to respond within 24 hours.
5.2 Downtime
We aim for high availability but provide Services “as-is” and “as-available.” Be Relevant is not liable for damages from downtime, interruptions, or data loss, except as required by law.
6. Geographic Restrictions
The Services are designed for use within the United States. Users accessing the Services from outside the U.S. are responsible for compliance with local laws.
7. Limitation of Liability
7.1 Liability Cap
Be Relevant’s liability for any claims is limited to the subscription fees paid in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data, whether arising out of breach of contract, tort (including negligence), or otherwise, regardless of whether such damage was foreseeable or Be Relevant was advised of the possibility, unless required by law.
7.2 Disclaimer
The Services are provided "as-is" and "as-available" without warranties of any kind. Be Relevant disclaims all implied warranties, including merchantability and fitness for a particular purpose.
8. Marketing Authorization
By using the Services, you grant Be Relevant permission to use your name, logo, and non-confidential information for marketing purposes, such as testimonials and case studies.
9. Arbitration and Dispute Resolution
9.1 Arbitration
Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association in Marion County, Florida. Arbitration will proceed on an individual basis. You waive your right to a jury trial and to participate in class actions.
9.2 Class Action Waiver
You waive the right to participate in class actions or consolidated claims. Arbitration shall be conducted on an individual basis only, and no collective or representative actions are permitted.
9.3 Costs
Arbitration costs, including fees and compensation for the arbitrator, will be shared equally by the Parties unless the arbitrator decides otherwise.
9.4 Time Limit
Claims must be filed within one (1) year of the cause of action, or they are permanently barred.
10. Third-Party Integrations
10.1 Responsibility
The Services may integrate with third-party tools and platforms. Third-party tools may process your data per their terms. Be Relevant ensures such providers protect your data but is not responsible for their reliability, performance, or actions.
10.2 Disruptions
Any disruptions or issues caused by third-party integrations do not constitute a breach of this Agreement by Be Relevant.
11. Termination
11.1 By Be Relevant
We may terminate your account immediately for violations of these Terms or non-payment.
11.2 Post-Termination
Upon termination, all access to the Services ceases. Data will be retained for 30 days, during which it can be exported. Proprietary systems and tools remain inaccessible.
12. SMS/Text Messaging Services
12.1 SMS Program Description
Be Relevant’s SMS program provides text messages for purposes such as appointment reminders, customer support, transactional notifications (e.g., receipts), and, if you opt in, promotional messages. Message frequency will vary based on your subscription plan and interaction with our Services.
12.2 Opt-In and Consent
By providing your mobile number and opting into our SMS program, you expressly consent to receive recurring text messages from Be Relevant at the number provided. Opt-in may occur during registration, account setup, or subscription purchase. You are not required to opt into SMS messaging as a condition of purchasing goods or services, though some features may require it.
12.3 Opting Out
You may opt out of SMS services at any time by texting "STOP" to the shortcode provided in our messages. Upon receipt, we will send a confirmation message, and you will no longer receive SMS messages from us unless you re-opt in. To resume, text "START" or re-enroll through your account settings.
12.4 Help and Support
For assistance with the SMS program, reply "HELP" to any message or email [email protected]. We aim to respond within 24 hours.
12.5 Carrier Liability
Wireless carriers are not liable for delayed or undelivered messages.
12.6 Message and Data Rates
Standard message and data rates may apply as determined by your wireless carrier. For details, contact your provider. Message frequency varies based on usage.
12.7 Prohibited Content
Be Relevant’s SMS messages will comply with federal and state laws and will not include:
• Phishing, smishing, or social engineering attempts to obtain private information;
• Illegal content;
• or SHAFT content (sex, hate, alcohol, firearms, tobacco) unless compliant with applicable regulations.
12.8 SMS Data Protection
Opt-in data and consent records will not be shared with third parties except as necessary with aggregators or providers facilitating SMS delivery. Your mobile information will not be shared with third parties or affiliates for marketing purposes without your explicit consent.
12.9 Privacy
SMS-related data collection and use are governed by our Privacy Policy, available upon request at [email protected].
13. Miscellaneous
13.1 Amendments
Be Relevant reserves the right to amend these Terms. Changes will be communicated via email or the platform. Continued use of the Services constitutes acceptance of updated Terms.
13.2 Force Majeure
Be Relevant is not liable for delays or failures caused by events beyond our control, including natural disasters, labor strikes, or internet outages.
13.3 Assignment
Be Relevant may assign its rights and obligations under these Terms. You may not assign your rights without prior written consent.
13.4 Severability
If any provision is deemed invalid, the remaining provisions remain enforceable.
13.5 No Partnership
Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Be Relevant.
13.6 Entire Agreement
These Terms, with referenced documents, are the entire agreement between you and Be Relevant, superseding prior agreements.
13.7 No Third-Party Beneficiaries
These Terms benefit only you and Be Relevant, not third parties.
13.8 Headings
Headings are for convenience and do not affect interpretation.
Acceptance
By using Be Relevant’s Services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
